These Terms govern all services offered through this website, provided by:

Note: All invoices and formal contracts are issued by SMartDe eG on my behalf, as I operate through the cooperative employment model.

2. Services offered

Through this website, I offer digital marketing services including but not limited to:

• CRM setup and management

• Business automation and funnel building

• Email, SMS, and lead generation campaigns

• Website and AI digital asssistnats

3. How the Smart cooperative model works for you as a client

When you engage my services:

• You negotiate project terms directly with me

• The formal contract and invoice are issued by SMartDe eG

• I personally carry out all work

• SMartDe eG provides employer-level liability cover and handles all tax compliance

This structure gives you legal certainty and professional reliability backed by a registered German cooperative since 2015.

4. Enquiries and proposals

Submitting an enquiry through this website does not create a contractual obligation on either side. A binding agreement is only formed once both parties have signed or digitally confirmed a project agreement or order confirmation issued by SMartDe eG.

5. Client responsibilities

Clients are responsible for:

• Providing accurate and complete project information

• Obtaining all necessary rights and permissions for content supplied to me

• Complying with all applicable laws in their jurisdiction (including CAN-SPAM, TCPA, CASL, or equivalent laws governing digital marketing in their country)

• Ensuring their own end-customers' data is collected with appropriate consent before providing that data to me for use in marketing campaigns

6. Data processing

Where I process personal data belonging to your customers on your behalf, a separate Data Processing Agreement (DPA) will be signed prior to commencing work. This is required under GDPR and protects both parties. Please request this at the time of onboarding.

7. Payment

Payment terms are agreed per individual project contract issued by SMartDe eG. Unless otherwise agreed in writing:

• Invoices are due within 14 days of issue

• Late payment may incur statutory interest under German law (§288 BGB)

• All fees are exclusive of VAT where applicable

• Fees paid are non-refundable once work has commenced, unless otherwise agreed

8. Intellectual property

Upon receipt of full payment, all deliverables created specifically for your project become your property. I retain the right to reference our work together as a portfolio example unless you request otherwise in writing.

Pre-existing tools, templates, and systems (including GHL configurations developed independently) remain my intellectual property and are licensed to you for use, not transferred.

9. Limitation of liability

To the fullest extent permitted by law:

• I am not liable for indirect, incidental, or consequential damages

• My total liability for any claim is limited to the fees paid in the three months preceding the claim

• I am not responsible for the performance of third-party platforms (including GoHighLevel, Meta, Google, or similar services)

10. Confidentiality

I will keep all client business information confidential and will not disclose it to third parties without your consent, except where required by law or necessary to deliver the service (e.g. sharing access with GoHighLevel).

11. Governing law and jurisdiction

These Terms are governed by the laws of the Federal Republic of Germany. Any disputes shall be subject to the exclusive jurisdiction of the courts of Berlin, Germany.

If you are a consumer (not a business), mandatory consumer protection laws in your country of residence may also apply alongside these Terms.

12. Changes

We reserve the right to update these Terms at any time. The current version is always available at this URL. Continued use of our services after an update constitutes acceptance of the revised Terms.
